Atrium Terms of Service
These terms cover Atrium, the software ZentumTech provides to tutoring centres. Part 1 is between ZentumTech and each centre that uses Atrium. Part 2 is for everyone who signs in. The last three sections apply to both parts.
In short
- Part 1 is for centres. Part 2 is for everyone who signs in.
- Each centre owns its records. We use them to provide, secure and support Atrium, analyse learning, develop and improve our products and services, including future ones, and train our own AI models.
- Each centre tells its families, in its own privacy policy, that their information is used this way.
- Each centre sets its own terms with its families. These terms do not replace them.
- Messages to families are the centre's decision. Automations that write to families start switched off.
- Fees are as agreed between ZentumTech and each centre.
- Rights under the Australian Consumer Law stay in place.
For centres
Part 1: the terms between ZentumTech and each centre that uses Atrium.
In this part, "we" means ZentumTech, which provides Atrium, and "you" means the tutoring centre that uses Atrium, or the business that runs it.
Your centre accepts these terms when it first signs in to Atrium, and keeps agreeing to them by continuing to use Atrium. The person who first signs in for your centre confirms that they can accept these terms for it.
What Atrium is
Online software for running a tutoring centre.
Atrium is online software for running a tutoring centre: trials and enrolments, timetables, attendance, invoicing, payroll, your team, your families and the messages your centre sends.
We provide Atrium as a service. We may change, add or remove features over time.
Accounts and your people
You choose who gets access, and you are responsible for them.
Accounts are by invitation only. There is no public sign-up. Your owners and managers invite the staff, tutors, parents and guardians who use Atrium for your centre, and choose each person's role.
You are responsible for the people you invite. Give each person only the access their work needs, make sure they follow Part 2, and remove access when someone leaves.
If you think an account has been misused, tell us through the contact page straight away.
Your terms with families
Your centre sets its own terms. These terms do not replace them.
Your enrolment terms, fees, refunds and policies are between your centre and your families. You write them and you are responsible for them.
Atrium can send your own enrolment terms to a parent or guardian to accept, and keeps a record of when they accepted. We are not a party to those terms.
Your centre also needs its own privacy policy for the information it collects. The Atrium privacy policy explains how we handle that information for you, and how we also use it for our own purposes.
Your records
Your centre owns its records, and lets us analyse them and train our own AI models on them.
The information your centre puts into Atrium, such as student, family, staff, class and invoice records, belongs to your centre. You are responsible for having the right to collect it and to put it into Atrium.
Your centre grants us the right to use your records, including how people use Atrium and work students create or submit, to provide, secure and support Atrium, to analyse learning, develop and improve our products and services, including future ones, and train our own AI models, as the Atrium privacy policy sets out.
Your centre is responsible for telling its families and staff, through its own privacy policy, that their information is used this way.
We do not sell your records, and we do not use them for advertising.
Atrium also records usage events about how it is used. They are linked to a sign-in session for that day, not to a person's name, and carry no student records.
Messages to families
What families receive is your centre's decision.
Atrium can send emails to families for your centre, such as invoices and updates. Automations that write to families start switched off, and your centre decides whether to turn each one on.
What a message says, and who it goes to, is your centre's responsibility. Check the wording and the recipients before you send a message or turn an automation on.
AI and automation
Your centre chooses its automated and AI features.
Your centre decides which automated and AI features it turns on. Automations that write to families start switched off.
Your centre is responsible for how it uses what these features produce.
We analyse records in Atrium and train our own AI models on them, as set out in "Your records" and the Atrium privacy policy.
Connected services
A service you connect stays under your own account and its terms.
Your centre can connect Atrium to services it chooses, such as its own accounting package. The connected service runs under your centre's own account with its provider, and that provider's terms apply.
While a service is connected, Atrium sends it what it needs to do its job, such as invoices, contacts and pay details. You can disconnect it at any time.
Fees
Fees are as agreed between ZentumTech and your centre.
The fees for Atrium, and how and when they are paid, are as agreed between ZentumTech and your centre.
If fees are not paid when due, we may suspend your centre's access after telling you. Suspending access does not delete your records.
Availability
We aim to keep Atrium running. We cannot promise it never stops.
We aim to keep Atrium available and secure, but we do not promise that it will be uninterrupted or free of errors, and we do not offer an uptime guarantee.
We may pause Atrium for maintenance, or to deal with a fault or a security risk.
Suspension and ending
Your centre can stop at any time. We may suspend access to protect people.
Your centre can stop using Atrium by telling us through the contact page.
We may suspend or end your centre's access if fees are unpaid, if these terms are seriously broken, or if we need to protect students, staff, families or Atrium. Where we can, we will tell you first and give you a chance to fix the problem.
We may also end this part by giving your centre reasonable notice.
When a centre leaves
Ask for a copy first. Then we delete your records, apart from what the law requires.
When your centre stops using Atrium, your people can no longer sign in. Before you leave, you can ask for a copy of your centre's records through the contact page.
After your centre leaves, we delete its records, or remove what identifies people in them, within a reasonable time. We keep what the law requires us to keep, such as financial records and records needed to protect children, and only for as long as it requires. Deleting records leaves AI models already trained on them unchanged, and the results of analysis already done.
Liability and consumer law
Your consumer law rights stay. Beyond them, our liability is limited.
Nothing in these terms excludes, restricts or changes any right or remedy your centre has under the Australian Consumer Law, or any other law, that cannot be excluded.
As far as the law allows, we are not liable for any indirect or consequential loss, or for any loss of profit, revenue, data or goodwill, in connection with Atrium.
As far as the law allows, our total liability to your centre in connection with Atrium is limited to the fees your centre paid for the relevant service. Where our liability cannot be excluded but can be limited, we may choose to supply the service again or pay the cost of having it supplied again.
Your centre is responsible for loss caused by its own breach of these terms, or by the information it puts into Atrium or sends through it.
For everyone who signs in
Part 2: the terms for anyone with an Atrium account.
This part applies to everyone who signs in to Atrium: centre owners and managers, staff, tutors, and parents and guardians whose centre gives them access. In this part, "we" means ZentumTech, which provides Atrium, and "you" means the person signing in.
Your centre gives you your access. Questions about an enrolment, fees, classes or pay go to your centre, under your centre's own terms.
You accept this part when you first sign in to Atrium, and keep agreeing to it by continuing to use Atrium. If you do not agree, please do not use Atrium.
Your account
Keep your sign-in to yourself.
Accounts are by invitation from your centre. There is no public sign-up.
Keep your sign-in details private and do not share your account. You are responsible for what is done with it.
If you think someone else has used your account, tell your centre straight away.
Using Atrium properly
Atrium holds records about school-age students. Use it with care.
You agree not to:
- use Atrium for anything unlawful, or in a way that harms anyone;
- look at, copy or share information that your role at your centre does not need;
- try to get into another person's account, or into information your role does not give you;
- interfere with how Atrium runs or with its security, or test its security without our written permission;
- put in or send anything abusive, harassing or unsuitable, given that Atrium holds records about school-age students;
- copy Atrium or its data in bulk with automated tools, other than through a connection your centre has set up.
Availability and changes
Atrium can pause, and its features can change.
We aim to keep Atrium available and secure, but we do not promise that it will be uninterrupted or free of errors. We may pause it for maintenance, and we may change, add or remove features.
Our software and names
Atrium belongs to us. Your centre's content belongs to your centre.
The Atrium software and design, and the ZentumTech and Atrium names and logos, belong to ZentumTech or to the people who license them to us. You may use Atrium only as your centre's access allows.
Course materials and other content your centre adds belong to your centre, or to the people who license them to it.
If you send us feedback, we may use it to improve Atrium without owing you anything for it.
Usage data
We measure how Atrium is used, without names or records.
We collect and use information about how Atrium is used, such as which feature was used and whether an action completed, to run and secure Atrium, analyse how it is used, develop and improve our products and services, including future ones, and train our own AI models. These events use fixed categories and carry no names, no free text and no student records.
While you are signed in, each event is linked to a sign-in session for that day, not to your name, and records your centre and your role.
We never sell this information or use it for advertising.
AI features and training
Your centre chooses its AI features. We train our own models.
Your centre decides which automated and AI features it turns on. Automations that write to families start switched off.
We use information in our products, including how people use them and work students create or submit, to analyse learning, develop and improve our products and services, including future ones, and train our own AI models. The Atrium privacy policy sets out how.
Suspending access
Access can be paused or ended to protect people or Atrium.
We, or your centre, may suspend or end your access if you break these terms, if your account may have been misused, or if it is needed to protect students, staff, families or Atrium.
Your access also ends when your centre removes it or stops using Atrium.
Limits on our liability
Your consumer law rights stay. Beyond them, our liability is limited.
Nothing in these terms excludes, restricts or changes any right or remedy you have under the Australian Consumer Law, or any other law, that cannot be excluded.
As far as the law allows, we are not liable to you for any indirect or consequential loss, or for any loss of profit, revenue, data or goodwill, arising from your use of Atrium.
Where our liability cannot be excluded but can be limited, it is limited to supplying the service again.
Changes to these terms
Centres hear about a material change before it takes effect.
We may update these terms when Atrium or the law changes. The current version is always on this page.
If a change materially reduces your rights or increases your obligations, we will tell your centre before it takes effect, and Atrium may ask you to accept the updated terms when you next sign in. If you keep using Atrium after a change takes effect, the updated terms apply.
Governing law
Australian law applies.
These terms are governed by the laws of Australia. You and ZentumTech accept the non-exclusive jurisdiction of the courts of Australia. If a court finds part of these terms unenforceable, the rest still applies.
